Dower Law Firm advised on the sale of the majority of the share capital of Cerâmirupe – Cerâmicas, S.A. to an SPV of VALLIS CAPITAL PARTNERS.

Founded and headquartered in Alcobaça, Cerâmirupe is a leading company in the ceramics sector, dedicated to the manufacture of ornamental and household items in porcelain, faience and fine stoneware. In addition to production, the company provides support services to the industry, including product and industrial process innovation, and maintains a significant presence in retail — both physical and online — of tableware, cutlery and utility items.

The investment was financed by Vallis Sustainable Investments II – Closed-End Private Equity Fund, and was driven by the company’s solid growth track record, strong export orientation and pioneering role in innovation and development.

Rui Santos, CEO of Cerâmirupe, highlighted that “this transaction marks the beginning of a new phase of growth and competitiveness for Cerâmirupe, enabling us to accelerate innovation and expand our international presence, while maintaining the commitment to quality and excellence that has characterised the company for decades.”

The Dower Law Firm team was composed of lawyers Eduardo Castro Marques and Cláudia Rodrigues Carvalho. VALLIS, in turn, was represented by TELLES.

Eduardo Castro Marques, Managing Partner of Dower Law Firm, noted that “it was a privilege to support the sellers in a transaction of this relevance. It was a complex and structured transaction that demonstrates the dynamism and strategic value of the Portuguese ceramics industry.”
